These Terms of Service (“Terms”) govern your use of Rent a Mac’s services and website. By using our services, you agree to the terms outlined in this agreement, which form a legally binding contract between you (“the user”) and the Company. This agreement protects both parties by setting clear expectations regarding the use of our services.

1.1.1 The Company

Rent a Mac is a brand operated by two companies. The “Company” (also “we” or “us”) is the company that provides your service and issues your invoices, determined by the data center your service is delivered from:

(b) Data centers outside the United States, currently in Cyprus and India: WLF Digital Solutions Ltd, a company registered in the Republic of Cyprus under number HE 478767, Griva Digeni 51, Office 202, 8047 Paphos, Cyprus.

The data center is shown when you subscribe, and the Company is named on your invoices.

1.2 Acceptation

By creating an account, subscribing, or otherwise accessing or using our services, you agree to these Terms. If you do not agree to these Terms or any part of our policies, including our Privacy Policy and Acceptable Use Policy, you may not use our services. The Company may update these Terms as described in Section 9.

The Company may replace the Mac assigned to you with an equivalent one when needed.

2.4 Backups

2.5 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, AND THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Nothing in these Terms limits any liability that cannot be limited under applicable law.

7. Governing Law and Dispute Resolution

7.1 Customers of WLF Digital Solutions Ltd (Data Centers Outside the United States)

Where the Company is WLF Digital Solutions Ltd, these Terms are governed exclusively by, and shall be construed in accordance with, the laws of the Republic of Cyprus, wherever the user is located. The courts of Cyprus shall have jurisdiction over any dispute arising out of or in connection with these Terms. Notwithstanding the foregoing, WLF Digital Solutions Ltd reserves the right, at its sole discretion, to bring or pursue proceedings against any user before any other court of competent jurisdiction that it considers appropriate, including, without limitation, the courts of the user’s place of residence, domicile, or registered office.

7.2 Customers of WLF Digital Solutions US Inc. (United States Data Center)

This Section 7.2, including Sections 7.2.1 to 7.2.7, applies only to customers of WLF Digital Solutions US Inc., meaning customers whose service is delivered from our data center in the United States. It does not apply to customers of WLF Digital Solutions Ltd, who are covered by Section 7.1. “Dispute” means any dispute, claim, or controversy between you and WLF Digital Solutions US Inc. arising out of or relating to these Terms or the Services.

7.2.1 Governing Law (US Inc. Customers)

For customers of WLF Digital Solutions US Inc., these Terms and any Dispute are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-laws rules. The Federal Arbitration Act governs Sections 7.2.4 and 7.2.5.

7.2.2 Informal Resolution (US Inc. Customers)

Before starting any proceeding, the party raising a Dispute must send the other party a written notice describing the Dispute and the relief sought. Notices to WLF Digital Solutions US Inc. must be sent to support@rentamac.io with the subject “Legal Notice”. The parties will try in good faith to resolve the Dispute for 30 days after the notice is received, and any limitation period is suspended during that time.

7.2.3 Small Claims (US Inc. Customers)

Either party may bring an individual Dispute in a small claims or justice court in the county where you reside or in Harris County, Texas, as long as the Dispute remains in that court and is pursued on an individual basis.

7.2.4 Arbitration (US Inc. Customers)

Except for Disputes brought under Section 7.2.3 and claims by either party for injunctive relief to stop the infringement of intellectual property rights or unauthorized access to or misuse of the Services, any Dispute will be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”). The AAA Consumer Arbitration Rules apply if you use the Services primarily for personal, family, or household purposes; otherwise, the AAA Commercial Arbitration Rules apply. A single arbitrator will decide the Dispute on the basis of written submissions or by video conference, unless the arbitrator decides that an in-person hearing is needed, in which case it will be held in Harris County, Texas, unless the applicable AAA rules require a different location. Fees are allocated according to the applicable AAA rules. If 25 or more similar arbitration demands are filed against WLF Digital Solutions US Inc. by, or with the assistance of, the same or coordinated counsel, the AAA Mass Arbitration Supplementary Rules apply. The arbitrator may award relief only in favor of the individual party seeking it and only to the extent necessary to resolve that party’s individual claim.

7.2.5 Class Action Waiver (US Inc. Customers)

YOU AND WLF DIGITAL SOLUTIONS US INC. MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If this waiver is found to be unenforceable as to any claim, that claim, and only that claim, will be severed and decided by a court under Section 7.2.6 after the arbitration of all other claims has been completed.

7.2.6 Courts and Jury Waiver (US Inc. Customers)

Subject to Section 7.2.3, any Dispute that is not arbitrated, and any action to compel arbitration or to confirm, modify, or vacate an arbitration award, will be brought exclusively in the state courts located in Harris County, Texas, or in the United States District Court for the Southern District of Texas, Houston Division, and each party consents to the personal jurisdiction of those courts. TO THE EXTENT PERMITTED BY LAW, YOU AND WLF DIGITAL SOLUTIONS US INC. EACH WAIVE ANY RIGHT TO A TRIAL BY JURY.

7.2.7 US Inc. Customers Outside the United States

If you are a customer of WLF Digital Solutions US Inc. and a consumer residing outside the United States, Sections 7.2.4 to 7.2.6 apply only to the extent permitted by the mandatory laws of your country of residence.

8.1 Application to Business Customers

This Section 8 applies only where you are using the Services for business, commercial, or professional purposes. By entering into these Terms as a business customer, you represent that you are doing so for business, commercial, or professional purposes and not for personal, family, or household purposes. This Section 8 does not apply to, and creates no obligation for, any customer acting as a consumer, and nothing in this Section limits any right a consumer may have under applicable mandatory consumer-protection law.

Where you are a business customer, if we prevail in any dispute, claim, action, collection matter, arbitration (if any), or other proceeding arising out of or relating to these Terms, the Services, any Order Form, any unpaid amounts, or the enforcement, interpretation, breach, termination, or validity of any of the foregoing, you agree to reimburse us for our reasonable attorneys’ fees, court costs, arbitration fees (if any), expert witness fees, collection costs, and other reasonable out-of-pocket expenses incurred in connection with the dispute.

8.3 Direct Disputes and Fee-Shifting

The parties expressly intend this Section to apply to direct disputes between you and us, including claims brought by either party against the other, and not only to third-party claims or indemnity matters. The parties further intend this Section to override any default rule that each party bears its own attorneys’ fees.

8.4 Scope of Recoverable Costs

Recoverable fees and costs include reasonable fees and costs incurred before filing suit or arbitration, during litigation or arbitration, in settlement negotiations, on appeal, in post-judgment proceedings, and in enforcing or collecting any judgment, award, settlement, or payment obligation.

8.5 When We Prevail

For purposes of this Section, we “prevail” if we obtain substantially the relief sought, defeat substantially the relief sought against us, obtain dismissal of claims against us, obtain payment or performance after initiating enforcement efforts, or otherwise achieve a material favorable resolution by judgment, arbitration award, settlement, voluntary dismissal, or other final resolution.

Any award of attorneys’ fees or costs under this Section must be reasonable and may not exceed the amount permitted by applicable law.

9. Changes to Terms

9.1 Modifications

The Company may modify these Terms at any time by publishing the updated Terms on our website. Changes apply only going forward: a change to Section 7 does not apply to any Dispute that arose before the change takes effect. Users are encouraged to review the Terms periodically to stay informed of updates.
